Terms of Sale

1. Orders and acceptance

Orders are accepted by written confirmation, invoice or shipment. Quotes are valid for 30 days unless stated otherwise. Prices are subject to change without notice until an order is accepted.

2. Pricing and taxes

Retail prices are as published. Wholesale pricing applies only to approved trade accounts and is confidential. California sales tax is added to taxable sales unless a valid resale or exemption certificate is on file. Freight is billed separately unless otherwise agreed.

3. Payment

Retail and new trade orders are due at time of order by card, ACH or cash. Net-30 terms are extended at our discretion after credit review and may be withdrawn. Past-due balances accrue 1.5% per month or the maximum allowed by law, plus collection costs.

4. Delivery and risk of loss

Title and risk of loss pass to the buyer on delivery to the carrier or on will-call pickup. Delivery dates are estimates. Inspect shipments and report damage or shortages within 5 business days.

5. Returns

See Shipping, Will-Call & Returns. A return authorization is required. Restocking fees may apply to non-defective returns.

6. Warranty

Products are covered by the manufacturer’s warranty only. Flumflippa Distributions LLC makes no other warranty, express or implied, including merchantability or fitness for a particular purpose. Buyer is responsible for verifying fitment and regulatory suitability for the intended vessel and use.

7. Limitation of liability

Our liability for any claim is limited to the purchase price of the products involved. We are not liable for incidental or consequential damages, including vessel downtime.

8. Resale accounts and manufacturer policies

Trade account holders represent that purchases are for business use or resale and agree to keep resale certificates current. Flumflippa Distributions LLC honors manufacturer MAP (minimum advertised price) and authorized-dealer policies; account holders may not advertise or resell products in violation of those policies.

9. Governing law

These terms are governed by the laws of the State of California. Venue for disputes is Los Angeles County, California.
